RTM Restaurant Group, the largest restaurant franchisee in the U.S., operates 775 Arby's® restaurants in 22 U.S. states with annual sales of approximately $800 million
RTM retained TM Capital to explore strategic alternatives, including the potential sale of RTM to Triarc Companies, Inc. (NYSE), the franchisor of the Arby's® restaurant system
TM Capital assisted RTM in structuring and negotiating its sale to Triarc in a transaction valued at $725 million
The purchase price for RTM includes $175 million in cash, 9.7 million shares and 775,000 options in Triarc Class B common stock, and the assumption of $400 million of net indebtedness
