B&G Completes Recapitalization

	B&G Foods, Inc. (NYSE: BGS) manufacturers, distributes and sells a diverse portfolio of high-quality, shelf-stable branded food products
	The Special Committee of the Board of B&G Foods retained TM Capital Corp. as its financial advisor to evaluate an IPO and recapitalization to eliminate B&G’s dual-class common stock
	TM Capital advised the Special Committee on the repurchase of a majority of its Class B common stock with the IPO proceeds and the exchange of its remaining Class B stock for Class A stock
	B&G Foods successfully priced a $207.8 million IPO of Class A shares; approximately $82.4 million of the proceeds were used to repurchase Class B shares
	TM Capital acted as financial advisor and issued a fairness opinion to the Board of Directors of B&G Foods, Inc.
