This transaction marks a pivotal moment in TM Capital’s history. After more than three decades as an independent, partner-owned firm and most recently a division of Janney Montgomery Scott, we are entering a new chapter that expands our ability to serve clients while preserving the culture and values that define TM Capital.

Together, TM Capital and Capstone will offer a differentiated value proposition across the full range of our services. As a combined platform, we will maintain an active pipeline of approximately 300 transactions at any given time, supported by a dedicated research organization covering more than 16 industry verticals and engaging with over 30,000 business owners each year.

This scale, supported by broader and deeper sector banking teams, strengthens our private equity coverage and enables a fully integrated suite of PE-focused solutions. Together with Capstone, we will provide PE-dedicated buy-side advisory support for portfolio companies, a specialized debt placement group, and targeted micro-market add-on execution, along with expanded independent financial advisory services such as transaction due diligence, quality of earnings, fairness opinions, and performance improvement. The combined platform also enhances our capital solutions, including leveraged finance for acquisition financing and fund-level services such as capital call lines and commercial support for fund management.

This partnership is the result of a long-standing relationship between our firms that began through close ties between our respective founders. We previously explored a combination in 2023, but market dislocations led us to pause those discussions. When circumstances later changed, we were able to revisit our original partnership. Capstone moved quickly and decisively, bringing us back to where we initially intended to be.
